1. Scope and applicability

These terms apply to offers, quotations, agreements, and dealings related to the trade in (and, where applicable, services connected to) cheese and cheese products. If deliveries take place in separate parts or at different moments,
each delivery may be treated as a separate delivery for the purpose of applying these terms.

2. Key definitions (indicative)

The terms include defined concepts such as “cheese”, parties, buyer/seller, services (e.g., storage/handling/packaging), warehouse/storage, Incoterms, packaging units/returnable equipment, and related roles. Please refer to the PDF for the complete and exact definitions.

3. Offers and contract formation

Offers are generally non-binding unless explicitly stated otherwise in writing. Deviations from these terms apply only if expressly agreed in writing between the parties.

4. Delivery and Incoterms

Unless agreed otherwise, delivery terms are interpreted in accordance with the applicable Incoterms in force at the time the contract is concluded. The buyer/customer must provide timely instructions and/or collection arrangements where required; consequences of late or unclear instructions may be allocated to the party responsible under the terms.

5. Loading, unloading and handling instructions

Parties may have obligations to provide clear handling instructions (including loading/unloading and transport details).
If a shipment consists of multiple batches/lots, identification and allocation instructions may be required to ensure correct handling and administration.

6. Packaging units / returnable equipment (if applicable)

The terms may include rules on the condition, use, return, and risk allocation for returnable equipment/packaging units (including deposits where applicable). Damage, loss, or late return may be for the account of the party responsible as provided in the full terms.

7. Prices, invoicing and payment

Payment is due within the agreed time period. Late payment may trigger interest and recovery costs (including out-of-court collection costs) as set out in the full terms. In certain circumstances (e.g., insolvency-related events) claims may become immediately due and payable.

8. Title / security (high level)

The terms may contain provisions on retention of title and/or security rights to secure payment and performance.

9. Quality, inspection and complaints

The buyer/customer is generally expected to inspect goods and notify complaints within specified time limits. Different deadlines may apply depending on the nature of the goods (including freshness/soft cheese) and whether defects are apparent or hidden. Storage and handling conditions may be relevant when assessing complaints.

10. Liability and force majeure (high level)

The terms may limit liability and exclude consequential losses (e.g., loss of profit or business interruption), subject to exceptions such as wilful misconduct or gross negligence where applicable. Force majeure events may release parties from performance obligations for the duration and conditions described in the full terms.

11. Disputes (procedure)

Disputes may be resolved under the dispute resolution mechanism set out in the terms, which may include an amicable settlement/mediation stage and, if needed, arbitration, including procedural steps, appointments, expert evidence, and cost allocation as described in the full PDF.
